VidCo — Video-Commerce Local Marketplace

1. Introduction and Acceptance

Welcome to VidCo. These Terms of Service (the "Terms") are a binding legal agreement between you and RAPIDSELL SOLUTION PRIVATE LIMITED ("VidCo", "we", "us" or "our") and govern your access to and use of the VidCo platform, including the VidCo mobile applications (customer, merchant and delivery-partner apps) and any associated websites (collectively, the "Platform") and all related features, content and services (collectively, the "Services").

By creating an account, accessing or using the Services, or by placing or fulfilling an order through the Platform, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, Returns & Refunds Policy, Content & Community Guidelines and Prohibited Items Policy, each of which is incorporated into these Terms by reference. If you do not agree, you must not use the Services.

This document is an electronic record published in accordance with the Information Technology Act, 2000 and the applicable rules. It does not require any physical or digital signature.

2. Definitions

• "Buyer" or "Customer" means a User who browses, orders or purchases products through the Platform.
• "Merchant" or "Seller" means a business or individual registered on the Platform to list and sell products, whose terms are set out in the Seller Agreement.
• "Delivery Partner" means a person or agency engaged to provide pickup and delivery services for orders.
• "User", "you" or "your" means any person who accesses or uses the Services, including Buyers, Merchants and visitors.
• "Content" means any text, image, video, reel, story, review, rating, listing, audio or other material made available on the Platform.
• "Order" means a Buyer's offer to purchase one or more products from a Merchant through the Platform.
• "Coins" means loyalty reward points issued under the VidCo rewards programme as described in these Terms.

3. Nature of the Platform

VidCo operates a video-first local marketplace that enables Merchants to showcase and sell products through videos, reels, stories and listings, and enables Buyers to discover and purchase those products from Merchants located within serviceable areas.

Intermediary status. VidCo acts as an intermediary and a technology platform facilitating transactions between independent Buyers and Merchants. Unless expressly stated otherwise, VidCo is not the seller, manufacturer, importer or distributor of the products listed on the Platform, and does not own, hold, inspect or take title to such products. The contract of sale for any product is a direct contract between the Buyer and the relevant Merchant.

VidCo is not responsible for the quality, safety, legality, accuracy of listings, or the ability of Merchants to sell products, except to the extent expressly required by applicable law or expressly undertaken by VidCo in these Terms.

4. Eligibility

You must be at least 18 years of age and competent to enter into a binding contract under the Indian Contract Act, 1872 to register an account or transact on the Platform. If you are using the Services on behalf of a business, you represent that you are authorised to bind that business.

The Services are intended for Users located in India and for delivery within the serviceable areas configured on the Platform.

5. Accounts and Security

To access certain features you must register for an account and provide accurate, current and complete information, including a valid mobile number for verification. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

• Keep your credentials, OTPs and payment information confidential and do not share them with any person.
• Notify us immediately at support@vidco.in of any unauthorised use of or breach of security of your account.
• We may suspend, restrict or terminate accounts that contain false information, are used fraudulently, or violate these Terms.

6. User Conduct

You agree to use the Services only for lawful purposes. You must not, and must not permit any third party to:

• post or transmit Content that is unlawful, defamatory, obscene, misleading, infringing or otherwise prohibited under our Content & Community Guidelines;
• list, offer or purchase any item that violates our Prohibited Items Policy or applicable law;
• impersonate any person, misrepresent your affiliation, or manipulate ratings, reviews, reach or reward mechanics;
• attempt to gain unauthorised access to the Platform, disrupt its operation, or introduce malware or harmful code;
• scrape, harvest, reverse-engineer or copy the Platform or its Content except as permitted by law;
• use the Services to defraud any person or to circumvent fees, taxes or applicable law.

7. Orders and Contract of Sale

When you place an Order, you make an offer to purchase the selected product(s) from the relevant Merchant at the listed price plus applicable charges and taxes. The contract of sale is formed when the Merchant (or the Platform on the Merchant's behalf) accepts and confirms the Order.

Merchants are responsible for the accuracy of product descriptions, images, videos, prices, availability and stated dispatch timelines. Where a product is listed at an incorrect price or an Order cannot be fulfilled, the Order may be cancelled and any amount paid will be refunded in accordance with the Returns & Refunds Policy.

8. Pricing, Payments and Taxes

Prices displayed are inclusive of applicable taxes unless stated otherwise, and may be subject to delivery charges, convenience fees and, where applicable, a delivery tip selected by the Buyer. All charges are shown before you confirm an Order.

• We support online payments through third-party payment gateways and Cash on Delivery (COD), subject to availability for the relevant Merchant and serviceable area.
• Online payment availability may depend on the Merchant enabling online payments; where disabled, only COD may be offered.
• You authorise us and our payment partners to process payments for your Orders. We do not store full card details; payments are handled by PCI-DSS-compliant payment processors.
• You are responsible for any taxes applicable to your purchase. Tax invoices are issued by the relevant Merchant.

9. Coins, Rewards and Referrals

The Platform may offer a rewards programme under which you can earn Coins and referral benefits for eligible activity such as purchases and successful referrals.

• Coins have no independent monetary value, are non-transferable and cannot be exchanged for cash except where expressly permitted.
• Coins may be redeemed only as discounts against eligible Orders and may be subject to caps, expiry and minimum-order conditions.
• We may vary, suspend or discontinue the rewards programme, or adjust or reverse Coins obtained through error, abuse or fraudulent activity, at any time.

10. Video Content, Reels and Stories

The Platform enables Merchants to publish product videos, reels and time-limited stories (which expire automatically, typically after 24 hours), and enables Users to post reviews and other Content. All such Content must comply with our Content & Community Guidelines.

You retain ownership of Content you submit. By submitting Content, you grant VidCo a worldwide, non-exclusive, royalty-free, sub-licensable licence to host, store, reproduce, adapt, display, distribute and promote that Content on and in connection with the Services. You represent that you hold all rights necessary to grant this licence, including rights to any music, trademarks and third-party materials used.

10A. Artificial Intelligence (AI) Services and AI-Generated Content

The Platform may provide artificial intelligence ("AI") powered tools and features, including but not limited to AI-generated product descriptions, videos, reels, stories, voiceovers, captions, translations, image enhancements, recommendations, inventory management, customer engagement tools, and other automated content generation services ("AI Services").

The AI Services are provided solely as assistive tools. AI-generated outputs may contain inaccuracies, omissions, hallucinations, inappropriate content, or other errors. Users are solely responsible for reviewing, verifying, editing, and approving all AI-generated content before publishing or relying upon it.

Merchants remain solely responsible for ensuring that all AI-generated listings, product descriptions, pricing, promotional claims, images, videos, advertisements, and customer communications comply with applicable law and accurately represent the products offered.

VidCo does not warrant the accuracy, completeness, legality, originality, merchantability, fitness for a particular purpose, or suitability of AI-generated outputs and disclaims all liability arising from their use.

VidCo may suspend, restrict, modify, discontinue, or impose usage limits on AI Services at any time without prior notice.

10B. Video Commerce, Live Selling and Shoppable Content

The Platform enables Merchants to promote and sell products through videos, live streams, reels, stories, interactive shopping content, and other multimedia formats.

Merchants shall ensure that all promotional content:

• accurately represents the products being offered;

• does not contain misleading demonstrations or manipulated results;

• clearly discloses sponsored promotions where applicable;

• complies with all applicable consumer protection, advertising, and product labelling laws.

Merchants shall not:

• misrepresent product functionality;

• conceal material defects;

• manipulate videos to create deceptive impressions;

• falsely claim limited availability or urgency;

• use fabricated customer testimonials or reviews;

• conduct fraudulent live-selling events.

VidCo reserves the right to remove, suspend, restrict, demonetize, or limit the visibility of any video content that violates these Terms or applicable law.

10C. User Engagement and Community Integrity

Users shall not artificially manipulate engagement metrics, including likes, followers, comments, shares, views, ratings, reviews, referrals, or rewards.

Prohibited conduct includes:

• purchasing followers or engagement;

• automated bots or scripts;

• fake reviews;

• coordinated manipulation campaigns;

• spam;

• misleading referrals;

• creation of multiple accounts for promotional abuse.

VidCo may remove fraudulent engagement, reverse rewards, suspend accounts, or permanently prohibit repeat offenders.

10D. AI Moderation and Platform Safety

VidCo may use automated technologies, artificial intelligence, machine learning systems, or human reviewers to detect, investigate, moderate, restrict, or remove content that may violate these Terms or applicable law.

Such systems may review listings, videos, comments, ratings, messages, images, or other content for purposes including:

• fraud prevention;

• spam detection;

• counterfeit detection;

• intellectual property protection;

• community safety;

• policy enforcement;

• quality assurance.

Automated moderation may occasionally generate incorrect decisions. Users may request review through the grievance process.

10E. Platform Rights and Marketplace Enforcement

VidCo reserves the right, at its sole discretion and where reasonably necessary, to:

• remove or modify listings;

• suspend or terminate user accounts;

• restrict Platform functionality;

• hide or de-rank products or merchants;

• disable AI features;

• remove videos, reels, stories, comments, or reviews;

• freeze or reverse rewards obtained through fraud or abuse;

• investigate suspected violations;

• cooperate with governmental or regulatory authorities;

• enforce Platform policies.

Exercise of these rights shall not create any obligation on VidCo to monitor all activity on the Platform.

10F. Intellectual Property Complaints

VidCo respects intellectual property rights.

Copyright owners, trademark owners, or authorized representatives may submit complaints regarding allegedly infringing content through the designated grievance mechanism.

Upon receipt of a valid complaint, VidCo may temporarily disable access to the disputed content while conducting an appropriate review.

Users who repeatedly infringe intellectual property rights may have their accounts suspended or permanently terminated.

10G. Platform Analytics and Data Usage

In addition to the practices described in the Privacy Policy, VidCo may collect and analyse aggregated and anonymized information regarding platform usage, including browsing behaviour, viewing duration, watch history, search activity, engagement metrics, transaction history, merchant performance, and user interactions to improve the Services, enhance AI systems, detect fraud, personalize recommendations, generate analytics, and develop new products and features.

No personally identifiable information shall be processed except in accordance with applicable law and the Privacy Policy.

10H. Service Availability and Maintenance

VidCo does not guarantee uninterrupted availability of the Platform.

The Services may be temporarily unavailable due to scheduled maintenance, upgrades, technical failures, cyber incidents, network disruptions, third-party service failures, governmental actions, or circumstances beyond VidCo's reasonable control.

VidCo may suspend or restrict access to all or part of the Platform where necessary to maintain security, integrity, compliance, or operational stability.

11. Delivery and Fulfilment

Delivery is fulfilled by Merchants and/or Delivery Partners. Estimated delivery times are indicative and may vary due to serviceable-area limits, product availability, Merchant dispatch timelines and factors beyond our control. Risk in the products passes to the Buyer on delivery.

Where a Merchant has enabled vacation mode or is otherwise unavailable, that Merchant's store may be hidden and unable to accept new Orders.

12. Cancellations, Returns and Refunds

Cancellations, returns, replacements and refunds are governed by our Returns & Refunds Policy, which forms part of these Terms. Certain products may be non-returnable as described in that policy.

13. Intellectual Property

The Platform, including its software, design, "VidCo" name and logos, and all associated intellectual property, is owned by or licensed to RAPIDSELL SOLUTION PRIVATE LIMITED and is protected by applicable laws. Except for the limited right to use the Services in accordance with these Terms, no rights are granted to you.

You must not use our trademarks, branding or Content without our prior written consent, except as permitted by law.

14. Third-Party Services

The Services may integrate or link to third-party services (such as payment gateways, mapping and location providers, and social platforms). Your use of those services is subject to their own terms and privacy policies, and VidCo is not responsible for them.

15. Disclaimers

To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, secure or error-free, or that any product listed by a Merchant will meet your expectations.

16. Limitation of Liability

To the maximum extent permitted by law, VidCo and its officers, employees and affiliates shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, goodwill or data, arising out of or in connection with your use of the Services.

Nothing in these Terms limits any liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud. Subject to that, our aggregate liability arising out of or relating to the Services shall not exceed the total amount paid by you to VidCo (excluding amounts payable to Merchants) in the three (3) months preceding the event giving rise to the claim.

17. Indemnification

You agree to indemnify and hold harmless VidCo and its affiliates from and against any claims, damages, losses and expenses (including reasonable legal fees) arising out of your breach of these Terms, your Content, your violation of any law, or your infringement of the rights of any third party.

18. Suspension and Termination

We may suspend or terminate your access to the Services, remove Content, or cancel Orders, with or without notice, if we reasonably believe you have breached these Terms or any applicable law, or to protect the Platform, its Users or third parties. You may stop using the Services and request account closure at any time.

19. Grievance Redressal

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and the Consumer Protection (E-Commerce) Rules, 2020, complaints regarding the Services or any Content may be addressed to our Grievance Officer:

We will acknowledge complaints within 48 hours and endeavour to resolve them within the timelines prescribed under applicable law.

20. Governing Law and Dispute Resolution

These terms are governed by the laws of India, including as applicable the Information Technology Act, 2000 and the rules made thereunder (including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021), the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020, the Digital Personal Data Protection Act, 2023, and applicable tax legislation.

Subject to applicable consumer-protection law, the courts at Jamnagar, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms. The parties will first attempt to resolve disputes amicably through the grievance mechanism before pursuing other remedies.

21. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Platform or by other reasonable means. Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.

22. Force Majeure

We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, epidemics, strikes, network or power failures, or governmental action.

23. Miscellaneous

• If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
• Our failure to enforce any right is not a waiver of that right.
• You may not assign these Terms without our consent; we may assign them to an affiliate or successor.
• These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and us regarding the Services.
